Terms and Conditions

These Terms and Conditions ("Terms") govern the licensing, installation, access to, and use of DataParrots, an on-premise, license-based software product provided by DataParrots Inc. ("DataParrots", "we", "our", or "us").

These Terms are intended for business and enterprise customers. By installing, accessing, or using DataParrots, you represent that you are acting on behalf of a legal entity and that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you may not install or use the product.

1. Acceptance of Terms

By installing, accessing, or using DataParrots, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with any applicable license agreement, order form, or statement of work (collectively, the "Commercial Agreement") entered into between you and DataParrots Inc. In the event of a conflict, the Commercial Agreement shall prevail.

2. License Grant and Restrictions

2.1 License Grant

Subject to your compliance with these Terms and the applicable Commercial Agreement, DataParrots Inc. grants you a non-exclusive, non-transferable, non-sublicensable, limited license to install and use DataParrots solely on-premise or within customer-controlled infrastructure for your internal business operations.

2.2 License Restrictions

Except as expressly permitted in writing by DataParrots Inc. or required by applicable law, you shall not:

  • Copy, modify, or create derivative works of the product
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the product
  • Distribute, sublicense, lease, rent, sell, or otherwise make the product available to third parties
  • Use the product for unlawful, fraudulent, or deceptive purposes
  • Interfere with, compromise, or bypass security mechanisms of the product

3. Deployment Model and Customer Responsibilities

DataParrots is provided exclusively as an on-premise software product. DataParrots Inc. does not host, operate, or manage the product on your behalf.

You are solely responsible for:

  • Procuring, operating, and maintaining all hardware, virtual machines, operating systems, networks, and storage required to run the product
  • Securing your infrastructure, databases, credentials, and access controls
  • Ensuring appropriate user authentication, authorization, and audit controls
  • Compliance with all applicable laws, regulations, and internal governance policies
  • Backup, retention, and disaster recovery of your data and systems

4. Required Use of Third-Party LLM Providers

4.1 Mandatory LLM Configuration

DataParrots relies on integration with a compatible third-party Large Language Model (LLM) provider to perform core product functionality, including natural language understanding and query generation.

As a condition of using the product, you must independently procure, configure, and maintain access to a supported LLM provider.

4.2 Third-Party Terms and Data Transmission

Your use of any LLM provider is governed solely by the terms, policies, and agreements between you and such provider. Data transmitted to an LLM provider flows directly from your environment according to your configuration.

DataParrots Inc.:

  • Is not a party to your agreement with any LLM provider
  • Does not control or operate third-party LLM services
  • Does not receive, store, or process data transmitted to LLM providers

You are solely responsible for evaluating and complying with the privacy, security, and regulatory obligations associated with your selected LLM provider.

5. Customer Data and Ownership

5.1 Ownership

You retain all right, title, and interest in and to:

  • Your databases and underlying data
  • Queries submitted to the product
  • SQL or other queries generated by the product
  • Outputs, results, and analytics generated within your environment

No ownership rights in customer data are transferred to DataParrots Inc.

5.2 Data Processing

All data processed by DataParrots remains within customer-controlled systems unless explicitly transmitted to a third-party LLM provider pursuant to your configuration. DataParrots Inc. does not access, collect, store, or process customer data as part of normal product operation.

6. Intellectual Property

The product, including all software, documentation, trademarks, logos, and related materials, is and shall remain the exclusive property of DataParrots Inc. and its licensors, and is protected by applicable intellectual property laws.

Except for the limited license expressly granted herein, no rights are granted to you, whether by implication, estoppel, or otherwise.

7. Privacy

DataParrots Inc. does not process customer data as a data controller or processor in connection with the on-premise product.

8. Support and Maintenance

Any support, updates, maintenance, or professional services are provided solely as specified in the applicable Commercial Agreement. No support obligations are implied by these Terms.

9. Limitation of Liability

To the maximum extent permitted by law, DataParrots Inc. and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising out of or related to the use of or inability to use the product.

In no event shall DataParrots Inc. aggregate liability exceed the total fees paid by you for the product during the twelve (12) months immediately preceding the event giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless DataParrots Inc. and its affiliates, officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys fees) arising out of or related to:

  • Your use or misuse of the product
  • Your violation of these Terms or applicable law
  • Your data, configurations, or use of third-party LLM providers or other integrations

11. Termination

These Terms remain in effect for the duration of the license granted under the applicable Commercial Agreement.

DataParrots Inc. may terminate these Terms and the associated license upon material breach by you, subject to any cure period specified in the Commercial Agreement.

Upon termination, you shall immediately cease all use of the product and destroy or uninstall all copies in your possession or control.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to conflict of law principles.

13. Amendments

DataParrots Inc. reserves the right to update or modify these Terms from time to time. Updated Terms will be posted on the official DataParrots website and become effective upon posting.

Continued use of the product after posting constitutes acceptance of revised Terms.
